Change of address of a company in North Macedonia

Namely, one of the hallmarks of a company is the seat of the company – the place that is registered as a headquarters of the company in the trade register at the Central Register of the Republic of North Macedonia. In accordance with the Company Law of North Macedonia, the Registered office of the company means the location and address (street and number) stated in the company agreement, charter, or statement of the founding of a single-member limited liability company as entered in the commercial register

According to that, in the positive law of the Republic of North Macedonia, all issues related to the registered seat of trade companies, including the possibility to change the once registered seat are precisely regulated by the applicable provisions.

Based on this, the company during its operation may change its registered seat in a manner and in a procedure determined by the Founding Act. For the needs of this procedure, it is necessary a decision to be made by the manager or by the management body on change of the registered seat of the company.

It is also necessary to make a decision in order to amend the Founding Act (the statement/the agreement/ the statute) on the basis of which a consolidated text of the Founding Act should be prepared and signed. The consolidated text of the Founding Act must contain data on the newly registered seat of the company.

Finally, it is necessary for a written statement to be given according to the Law that must contain all actions that were taken during the procedure.

The Central register will issue an adequate certificate that should also be provided in any third party with which the company has a relationship.
